Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legally binding agreement between you and Nurtureley LLC (“Nurtureley,” “we,” “us,” or “our”) governing access to and use of the Nurtureley mobile applications, parent web portal, staff / admin web portal, and related APIs (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Nurtureley is a care-coordination and education platform for newborn families and Nurtureley care staff. Features may include overnight / visit scheduling, care logging during engagements, Ask Ashley (async Q&A), education content, account management, and related operational tools for staff.

The Service is a coordination and education tool. It does not replace professional medical advice, diagnosis, or treatment, and it is not a substitute for emergency services. Consistent with Nurtureley’s published care policies, our infant care professionals function in a non-medical capacity; please consult your pediatrician for medical advice and questions. In a medical emergency, call 911 (or your local emergency number) or contact your pediatrician / healthcare provider immediately.

Separate care contracts, deposits, and nursing arrangements between you and Nurtureley (or its caregivers) may apply in addition to these Terms. Nurtureley’s general care and class policies are also described at Our Policies.

Care engagements (published policies)

When you engage Nurtureley for in-home infant care (outside the digital Service alone), the following practices from our published policies apply, as updated from time to time on nurtureley.com/our-policies:

Parent-requested care visits may require Nurtureley to confirm that a deposit has been paid and a care agreement has been signed (tracked in the Service as staff controls). Scheduling, approval, and assignment of caregivers are operational decisions by Nurtureley.

6. Care logging and Ask Ashley

Care logs capture events during care engagements (and parent tracking where enabled). Ask Ashley is an asynchronous question-and-answer feature with Nurtureley staff — not live chat, not urgent triage, and not emergency care.

7. Education content and entitlements

Education materials (videos, e-books, classes, and similar) are licensed for use through the Service. Access may depend on being an active care client and/or holding an active digital membership purchased on the web. We may update, add, or remove content from time to time.

8. Fees and payments

Care services (Collective)

Fees for physical care services (for example overnight visits) are billed through Collective (or as otherwise directed by Nurtureley). The Service may display an unpaid invoice status and open Collective’s pay / view link in your system browser. Card processing for those invoices occurs on Collective’s systems — not as Apple or Google In-App Purchase inside the Nurtureley apps.

Digital memberships and products (Stripe on the web)

Digital subscriptions and related products are purchased on the parent web portal via Stripe Checkout and may be managed through Stripe’s customer billing portal. The mobile apps do not sell these digital products via In-App Purchase; they may deep-link to the web to subscribe or manage billing.

Overnight / daytime care cancellations

For scheduled overnight or daytime care visits, we ask for 48 hours’ notice for cancellations when possible so we can staff appropriately, as stated on Our Policies. Amounts already invoiced through Collective remain subject to your care agreement and Collective’s payment records; contact support@nurtureley.com about invoice adjustments.

In-home infant care classes — refund & cancellation

The following applies to in-home infant care classes (as published on Our Policies):

Digital memberships (Stripe)

Digital subscription cancellations, renewals, and refunds follow the terms presented at Stripe Checkout and in the Stripe Customer Portal when you purchase or manage a plan.

9. Communications

We may send transactional communications related to your account (for example password reset, booking updates, or Ask Ashley answers) by email and/or push notification when those channels are enabled. You may disable remote push in the app. Optional local reminders, if used, remain on your device.

10. Third-party services

The Service integrates or links to third parties, including Collective, Stripe, Google Calendar (when enabled), Apple, and Google. Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party sites or services we do not control.

11. Intellectual property

The Service, including software, branding, and education materials, is owned by Nurtureley or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose while your account is in good standing. You may not copy, reverse engineer, or redistribute the Service except as allowed by law.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NURTURELEY AND ITS OPERATORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. CARE DECISIONS REMAIN THE RESPONSIBILITY OF THE FAMILY AND QUALIFIED HEALTHCARE PROFESSIONALS.

15. Indemnification

You agree to defend, indemnify, and hold harmless Nurtureley and its operators from claims arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party rights, except to the extent caused by our willful misconduct.

16. Suspension and termination

We may suspend or terminate access to the Service if you violate these Terms, create risk for other users, fail to pay amounts owed, or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.

17. Changes

We may modify the Service and these Terms. We will post updated Terms with a new effective date. Material changes may be communicated through the Service or by email when appropriate. Continued use after the effective date constitutes acceptance where permitted by law.

18. Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, excluding conflict-of-law rules.
